** POSITION PURPOSE
Lead commercial negotiations on the Gas Sales & Purchase Agreement (GSPA) and the Ca Mau pipeline Tie-In Agreement (TIA), secure approval of the binding Heads of Agreement (HOA), and finalize signing of the GSPA and Tie-In contracts, to support FDP approval and FID sanction of the Nam Du / U Minh Development project.
** BASIC FUNCTION
• Develop the optimum strategy for the sale of non-associated gas from Nam Du / U Minh development project in Southwest Vietnam (including the optimum levels of CQ,TOP, Penalty Gas provision etc)
• Lead the commercial negotiations for the gas sale, including a binding HOA and a full-termed GSPA
With support from the Nam Du / U Minh project technical team; take the lead in defining the terms of the gas pipeline Tie In Agreement (TIA) with PV-Gas and other relevant entities
• Define the commercial, legal, fiscal, and technical terms for both the HOA/GSPA and TIA
• Responsible for internal approval process (Information Memorandum, Finance Memorandum, etc.) with regards to the commercial negotiations and negotiating parameters
• Identify what assistance is needed from internal/external sources to support negotiations and arrange for its provision
• Liaise with PV-Gas, PVN, Government Ministries, and other relevant parties on an ongoing basis to progress the negotiations and all external approach
• Collaborate effectively with key stakeholders (internal and external) to ensure that the terms of the GSPA and TIA fully satisfy JSE project goals and are completed on schedule
• Address all issues related to currency exchange and repatriation of gas sales proceeds to JSE related to the GSPA
• Support, from commercial and gas sale perspective, the funding arrangement for Nam Du/ U Minh development including any potential debt financing
• Finalise the terms of the gas sales/purchase contract and pipeline tie-in contract
• Secure approval of the binding HOA and the GSPA by all parties concerned, to support project FID/sanction and FDP approval
** PRINCIPLE ACCOUNTABILITIES
• Ensure that all parties involved in negotiations are fully aligned as to the obligations and responsibilities of each during planning, engineering, execution and subsequent operational phases
• Commercial negotiations shall be in line with JSE corporate expectations and policies
• Negotiations shall be conducted in compliance with applicable international and Vietnamese laws and regulations
• Demonstrate a professional, collaborative approach, show mutual respect, and promote effective teamwork when dealing with JSE Management, project team peers, and external stakeholders
• Fulfil the overall project goals and schedule and maximise value to the Nam Du / U Minh project

** POSITION HOLDER REQUIREMENTS
Formal Qualifications
• Bachelor or Master’s Degree in business, finance, or economics or relevant upstream oil and gas qualifications
Experience, Skills and Knowledge
• Minimum 15 years working in the upstream oil and gas industry within financial and commercial roles
• Minimum 5 years working in senior leadership positions
• Proven track record as a member of a team leading successful GSPA and TIA negotiations on a recent Vietnam O&G development project
• Understands the various different gas pricing mechanisms, commercial arrangements, and contracting options applied in the industry and in the country
• Thorough, up-to-date understanding of the Vietnam gas market
• Familiar with gas/condensate production, processing, storage, delivery and transportation processes and technology
• Familiar with international and Vietnamese legal requirements and processes related to gas sales and tie-in contracts
• Familiar with the regulatory approval process for gas sale arrangement in order to achieve FDP approval/FID
• Knowledgeable on the organisational structure and relationships between the Vietnam Government, PetroVietnam, and PV-Gas and be able to influence as needed
